1. Acceptance of Terms

These Terms of Service ("Terms") are entered into by and between you and Setu, Inc. ("Company," "we," or "us"), the operator of the Arpan platform available at arpan.io ("Platform"). These Terms govern your access to and use of the Platform, including all interview coaching sessions, assessments, analyses, and related services offered through the Platform (collectively, the "Services").

Please read these Terms carefully. By creating an account, purchasing a subscription, or otherwise accessing or using the Services, you: (1) acknowledge that you have read and understood these Terms, (2) represent that you are at least 18 years old and have the legal capacity to enter into binding contracts, and (3) agree to be bound by these Terms and our Privacy Policy.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" shall refer to that organization.

2. Description of Services

Arpan is an AI-powered interview coaching platform designed to help professionals develop communication skills for behavioral interviews in US technology companies. The Platform provides:

The Services are educational and coaching in nature. We teach communication frameworks and cultural code-switching skills. We do not guarantee any particular employment outcome, visa approval, or job offer. Interview success depends on many factors outside our control, including market conditions, individual employer preferences, and visa lottery outcomes.

3. Subscription Plans and Access

3.1 Available Plans

We currently offer the following subscription plans:

Pricing for users outside India is displayed in US Dollars (USD) at the equivalent rate. Plan features, session allocations, and pricing are subject to change with reasonable notice. Changes will not apply to active subscription periods already purchased.

3.2 Session Allocation

Included sessions are allocated to your account upon purchase. Sessions expire at the end of your subscription period and unused sessions do not carry over or entitle you to a refund. We do not offer rollover credits.

3.3 Access Period

Your access to the Services begins upon successful payment and expires at the end of your subscription period (7 days for Diagnostic, 90 days for Pro). We may offer subscription renewal at our then-current pricing. Subscriptions do not auto-renew unless we specifically offer and you affirmatively select an auto-renewal option.

4. Payment and Billing

4.1 Payment Processing

Payments are processed by our designated payment processor(s), which may include Stripe, Inc. and Razorpay Software Private Limited. By completing a purchase, you agree to provide accurate and complete payment information. You represent and warrant that you are authorized to use the payment method provided. Our payment processor's terms of service and privacy policy govern the processing of your payment information. We do not store your full payment card details.

4.2 Currency and Taxes

Pricing is displayed and charged in Indian Rupees (INR) for users accessing the Platform from India, and in US Dollars (USD) for users in the United States and other international markets. The currency shown to you at checkout is the currency in which you will be charged. For Indian users, all displayed prices are inclusive of applicable Indian Goods and Services Tax (GST). For users outside India, applicable taxes will be calculated and displayed at checkout prior to purchase. You are responsible for any additional taxes applicable to your purchase under the laws of your jurisdiction.

4.3 Promotional Pricing

From time to time, we may offer promotional or early-adopter pricing. Promotional pricing applies only to the initial purchase at the time of offer and does not guarantee future pricing at the same rate.

5. Refund Policy

5.1 General Policy

Because our Services consist of digital content and AI-powered coaching sessions that are made immediately available upon purchase, all sales are generally final. We do not offer refunds based on dissatisfaction with interview performance outcomes, failure to receive a job offer, visa lottery outcomes, or a change of mind after purchase.

5.2 Eligibility for Refund

We will consider refund requests only in the following circumstances:

Refund requests must be submitted to support@arpan.io within the following windows: (1) technical failure claims within 14 days of the triggering event; (2) duplicate charge claims within 7 days of the charge; (3) unauthorized purchase claims within 48 hours of the charge. Approved refunds will be prorated based on unused subscription time remaining and will be credited to the original payment method within 10 business days.

5.3 No Refunds for Completed Sessions

Completed interview sessions and delivered analyses are consumed Services. No refund or credit will be issued for sessions that have been conducted, regardless of whether you reviewed the resulting feedback.

5.4 Chargebacks

We encourage you to contact us at support@arpan.io before initiating a chargeback or payment dispute, as we are committed to resolving billing issues promptly. If you initiate a chargeback or payment dispute with your bank or payment provider without first contacting us, we reserve the right to suspend your access to the Services pending resolution of the dispute. We will not suspend access where you have made a good-faith attempt to resolve the issue with us first. Chargebacks that are investigated and resolved in our favor may result in permanent account termination. If a chargeback or payment dispute is resolved in your favor, we will restore your account access for the remaining unused portion of your subscription period.

6. Account Registration and User Responsibilities

6.1 Account Creation

You must create an account to access the Services. You agree to provide accurate, complete, and current information and to keep your account information updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

6.2 Single-User Accounts

Your subscription is for your individual personal use only. You may not share your account credentials, transfer your subscription to another person, or allow others to use your session allocation. Each subscription is tied to a single named individual.

7. AI-Generated Content and Feedback

The analyses, feedback, rewrites, and coaching content delivered through the Platform are generated by artificial intelligence systems. While we design these systems to provide accurate and useful guidance, AI-generated content may contain errors, omissions, or suggestions that are not appropriate for your specific situation.

AI feedback is intended as educational guidance, not as professional career counseling, legal advice, or a guarantee of any outcome. You should exercise your own judgment in applying feedback to your individual circumstances. We are not responsible for decisions you make based on AI-generated content.

Benchmarking data during the initial launch period is derived from industry research and best-practice frameworks. As the Platform accumulates user data, benchmarking will transition to anonymized performance data from actual users. We will indicate the basis for benchmarking data within the Platform.

8. Audio and Video Recording

Video interview sessions require you to use your device's webcam and microphone. By initiating a video session, you consent to the recording of your audio and video for the purpose of delivering post-session analysis and feedback. Video recordings are processed to provide presence and delivery feedback and are not shared with third parties except as necessary to provide the Services.

You represent that you have the right to record yourself in your recording environment and that no third party's privacy rights are violated by your recordings. Do not record in a location where others would be captured without their consent.

Session recordings, transcripts, scores, and analysis outputs are retained indefinitely as part of your account history and as data assets used to improve the Services. You may request deletion of your raw audio and video recordings by contacting support@arpan.io; however, transcripts and AI-generated analytical outputs derived from those recordings are retained regardless of recording deletion. 9. Intellectual Property

9.1 Our IP

All content, technology, AI models, rubrics, scoring frameworks, question banks, analyses, interface designs, trademarks, and service marks made available through the Platform are owned by or licensed to Setu, Inc. and are protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership interest in the Platform or its underlying systems.

9.2 Limited License to You

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial interview preparation during your active subscription period. This license terminates automatically upon expiration or termination of your subscription.

9.3 Your Content

You retain ownership of the interview responses, audio, and video you submit through the Platform. By submitting content, you grant us a limited license to process, analyze, and store that content for the purpose of providing the Services. In addition, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use anonymized and aggregated derivatives of your session data — including transcripts, scores, patterns, and analytical outputs — to improve our AI models, scoring frameworks, and benchmarking systems. This license survives expiration or termination of your subscription. We will not attribute individual session content to you in any public-facing manner.

10. Privacy

Your use of the Services is subject to our Privacy Policy, available at arpan.io/privacy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, and protect your personal information, including how we handle data subject to Indian data protection laws and applicable international privacy regulations. Please review it carefully.

11. Disclaimers and Limitation of Liability

11.1 No Employment or Visa Guarantee

The Services are educational in nature. We do not guarantee that use of the Platform will result in a job offer, employment, H1B visa selection, or any other specific outcome. Interview success depends on factors beyond our control, including employer decisions, market conditions, individual performance, and visa lottery processes.

11.2 As-Is Services

The Services are provided "as is" and "as available" without warranty of any kind. To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

11.3 Limitation of Liability

To the maximum extent permitted by law, Setu, Inc. and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of goodwill, arising out of or related to your use of or inability to use the Services.

In no event shall our total liability to you for all claims arising out of or related to these Terms or the Services exceed the greater of: (1) the total fees paid by you to us in the six (6) months immediately preceding the date the claim arose, or (2) USD $100.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. The above limitations may not apply to you in full.

12. Indemnification

You agree to defend, indemnify, and hold harmless Setu, Inc. and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (1) your violation of these Terms; (2) your use of the Services in an unauthorized or unlawful manner; or (3) your infringement of any third-party right.

13. Termination

We may suspend or terminate your account and access to the Services at any time, with or without notice, if we have reason to believe you have violated these Terms, engaged in fraudulent activity, or for any other reason at our discretion. Upon termination for cause, you will not be entitled to a refund of any fees paid.

You may discontinue use of the Services at any time. Subscription fees are not refunded upon voluntary discontinuation except as described in Section 5. To request account deletion, contact support@arpan.io.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally shall be submitted to binding arbitration under the rules of the American Arbitration Association, applying Delaware law. Arbitration shall be conducted in English. The prevailing party shall bear its own attorneys' fees unless the arbitrator determines otherwise. Notwithstanding the foregoing, users who are residents of India retain the right to approach consumer forums or courts of competent jurisdiction in India under the Consumer Protection Act, 2019, or other applicable Indian law. This arbitration clause does not limit or waive any rights that Indian consumers cannot waive by contract under applicable Indian law.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or confidential information.

Nothing in this section limits the rights of users who are residents of jurisdictions where mandatory consumer protection laws provide additional rights that cannot be waived by contract.

15. International Users

The Platform is operated from the United States. Users accessing the Services from India or other countries are responsible for compliance with local laws, including those related to digital services, data protection, and foreign exchange. You represent that your use of the Services does not violate the laws of your jurisdiction.

Indian users purchasing the Services acknowledge that Setu, Inc. is a foreign service provider and that applicable GST on digital services (OIDAR) will be collected at the applicable rate.

16. Changes to These Terms

We reserve the right to update these Terms at any time. When we make material changes, we will update the Effective Date at the top of this document and notify you via the email address associated with your account. Changes take effect upon posting. Your continued use of the Services after notice of changes constitutes your acceptance of the revised Terms.

17. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Setu, Inc. regarding the Services and supersede all prior agreements or understandings.

Severability. If any provision of these Terms is found invalid or unenforceable, that provision will be limited to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may freely assign our rights and obligations, including in connection with a merger, acquisition, or sale of assets.

Force Majeure. We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, infrastructure outages, third-party API failures, government actions, or natural disasters.
